Terms of Service

1. Agreement to Terms

By accessing or using Pinspoke ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the Service.

The Service is operated by Pinspoke, an Entrepreneur Individuel registered in France (SIREN: 901 177 626), based in Paris, France.

3. Eligibility

You must be at least 18 years old to use the Service. By using Pinspoke, you represent and warrant that you meet this age requirement and have the legal capacity to enter into these Terms.

4. Description of Service

Pinspoke is a platform that allows content experts ("Experts") to:

• Upload videos, podcasts, documents, and other content;
• Enable their audience to ask questions about that content;
• Receive payment for each question answered;
• Have answers generated using their exact words, linked to the original source.

Users ("Audience") can purchase credits and spend them to ask questions across any Expert on the platform.

5. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately of any unauthorized use.

Pinspoke reserves the right to suspend or terminate accounts that violate these Terms.

6. Expert Obligations

As an Expert, you agree to:

• Only upload content you own or have the rights to use;
• Not upload content that infringes on third-party intellectual property;
• Not upload illegal, harmful, or misleading content;
• Comply with all applicable laws and regulations, including EU regulations.

Pinspoke may remove content that violates these Terms without prior notice.

7. Content Ownership

You retain all ownership rights to the content you upload. By uploading content, you grant Pinspoke a non-exclusive, worldwide license to use, process, and display your content solely for the purpose of operating the Service.

You may delete your content at any time, which will terminate this license.

8. Payments and Fees

For Experts: You receive 80% of the revenue from each question answered. Payouts are processed weekly via Stripe, subject to a minimum threshold.

For Audience: Credits are purchased in advance. In accordance with EU consumer law, you have a 14-day right of withdrawal for unused credits, unless you have expressly consented to begin using the Service immediately and acknowledged the loss of withdrawal rights. Credits do not expire.

All prices displayed are inclusive of applicable taxes (including VAT where required). Payments are processed by Stripe. By using the Service, you also agree to Stripe's Terms of Service.

9. Right of Withdrawal

If you are a consumer in the European Union, you have the right to withdraw from your purchase within 14 days without giving any reason.

Exception: If you request immediate access to the Service and use credits before the withdrawal period ends, you acknowledge that you lose your right of withdrawal for the credits used.

10. Prohibited Uses

You agree not to:

• Use the Service for any illegal purpose;
• Upload content that violates any third-party rights;
• Attempt to reverse engineer, hack, or disrupt the Service;
• Use automated systems to access the Service without permission;
• Impersonate another person or entity;
• Upload content belonging to others without authorization.

11. Service Availability and Warranties

We strive to provide a reliable Service but cannot guarantee uninterrupted availability. The Service is provided without warranties beyond those required by applicable law.

Pinspoke does not guarantee that answers generated from Expert content will be accurate, complete, or error-free. Users should verify important information independently.

For EU consumers: Nothing in these Terms affects your statutory rights under applicable consumer protection laws.

12. Limitation of Liability

To the maximum extent permitted by applicable law, Pinspoke shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of the Service.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to Pinspoke in the 12 months preceding the claim.

For EU consumers: These limitations do not apply to damages caused by intentional misconduct or gross negligence, nor do they affect any liability that cannot be excluded under applicable law.

13. Indemnification

If you are using the Service for professional or commercial purposes, you agree to indemnify and hold harmless Pinspoke from any claims, damages, losses, or expenses (including legal fees) arising from your use of the Service, your content, or your violation of these Terms.

This clause does not apply to consumers using the Service for personal purposes.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of France.

For EU consumers: You may bring claims in the courts of your country of residence. You also benefit from mandatory consumer protection laws of your country of residence. You may access the European Commission's Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

For professional users: Any disputes shall be subject to the exclusive jurisdiction of the courts of Paris, France.

15. Changes to Terms

Pinspoke reserves the right to modify these Terms at any time. We will notify users of material changes via email or through the Service at least 30 days before the changes take effect. Continued use of the Service after changes constitutes acceptance of the updated Terms.

If you do not agree to the updated Terms, you may terminate your account before they take effect.

16. Termination

You may terminate your account at any time by deleting your account through the Service settings. Pinspoke may suspend or terminate your access for violation of these Terms, with reasonable notice where possible.

Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination shall survive (including ownership, disclaimers, indemnification, and limitations of liability).

17. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. The unenforceable provision will be modified to the minimum extent necessary to make it enforceable while preserving its intent.
